PUBLIC OFFER AGREEMENT

1. General Provisions
1.1. This Public Offer Agreement (hereinafter referred to as the "Agreement") is a public offer made by the Operator – YouCast, Inc., acting in accordance with the legislation of Ukraine, and defines the terms and conditions for providing services related to hosting, storing, and streaming video content.
1.2. Acceptance of this Agreement is considered to occur upon registration on the website, uploading of video content, connecting a YouTube channel via OAuth, payment for services, or clicking the “I Agree” button, which shall be deemed equivalent to an electronic signature.
1.3. Use of the YouCast.cloud platform constitutes full acceptance of all provisions of this Agreement.
2. Subject of the Agreement
2.1. The Operator agrees to provide services for storing video content on its servers and organizing automated 24/7 streaming of such videos to the User’s connected YouTube channel via OAuth integration.
2.2. The User confirms that they own or have all necessary rights to upload and broadcast the video content and can delete any uploaded content at any time.
3. Rights and Obligations of the Parties
3.1. The Operator undertakes to:
- Ensure video content storage and streaming according to applicable technical standards;
- Comply with Ukrainian laws regarding data protection and intellectual property.
3.2. The User undertakes to:
- Provide accurate and truthful information during registration;
- Use the services in accordance with the laws of Ukraine and this Agreement.
4. Service Provision Terms
4.1. Services are provided "as is" without a guarantee of uninterrupted availability due to possible technical issues or force majeure circumstances.
4.2. The Operator reserves the right to modify the terms of service, with prior notification to Users via email or platform notifications.
4.3. All operations are performed in compliance with current technical requirements and YouTube’s platform policies.
5. Liability of the Parties
5.1. In the event of a breach of this Agreement, the liable party shall compensate for damages in accordance with Ukrainian law.
5.2. The Operator is not liable for the consequences of actions by third parties or changes in YouTube’s policy that affect the broadcasting of video content.
6. Duration and Termination
6.1. This Agreement becomes effective upon the User’s acceptance and remains in force until terminated.
6.2. Either party may unilaterally terminate this Agreement by providing notice to the other party.
6.3. Upon termination, services shall cease, except for obligations incurred prior to termination.
7. Refund Policy
7.1. The User may request a refund within 7 days from the date of payment in the following cases:
- Service was not provided or was severely disrupted;
- Accidental double payment;
- Accidental purchase of the wrong plan.
7.2. To request a refund, please contact support@youcast.cloud with a detailed explanation. Requests are reviewed within 5 business days.
7.3. Refunds are not granted after 7 days or in cases of Terms of Use violations.
8. Final Provisions
8.1. All disputes arising in connection with this Agreement shall be resolved through negotiations. If no agreement is reached, the dispute shall be settled by a competent court in accordance with Ukrainian law.
8.2. This Agreement shall be governed by and interpreted in accordance with the laws of Ukraine.
8.3. All matters not regulated by this Agreement shall be resolved in accordance with applicable legal acts of Ukraine.
8.4. This document is in electronic form and does not require physical signatures to be legally binding.
